LMA and its team of lawyers possess the expertise to provide a complete set of legal advisory services in respect of transactions relating to mergers and acquisitions as well as de-mergers and disinvestment structuring transactions including conducting preliminary legal due diligence of the target company, preparing schemes of arrangements and, where necessary, obtaining pre-merger approvals from the Competition Commission and approvals of the schemes of arrangements from the High Court.

Our lawyers have acted for two separate groups of leading confectionary manufacturing and marketing companies i.e. the Hilal and Candyland groups for the merger and transfer of assets and liabilities of one company into the other. We have also advised on the acquisition of shares by a U.A.E. based banking group of another U.A.E. based bank and its ultimate shareholding in a scheduled bank of Pakistan including the permissions/ approvals to be obtained from regulatory authorities such as the State Bank of Pakistan, the Securities and Exchange Commission of Pakistan and the Competition Commission of Pakistan upon instructions of a foreign law firm.

Our team has also recently conducted a due diligence for a consortium of foreign investors keen in acquiring a large microfinance institution, including, conducting due diligence of the data available and subsequently drafting a shareholders’ agreement, as well as review of bidding documents and share purchase agreement.

Our team has also represented Pak Oman Asset Management Company Limited in the acquisition of 100% shares of Askari Investment Management Limited owned by Askari Bank Limited.

We also represent Unity Foods Limited and have advised them on numerous transactions pertaining to the acquisition of shares and assets. The transactions involve advising on the structure of the acquisitions along with assisting in drafting documents to obtain corporate and regulatory approvals for the said transactions.

  • LMA is providing legal services to Ernst & Young, Germany in respect of reorganisation of Kaufland Pakistan. In respect of the matter LMA has rendered extensive advisory and other legal services to the client while assisting in collating a detailed step wise plan covering pre-transfer of share activities, transfer of shares and post-transfer of shares activities. In addition to this LMA has provided the client drafts of all corporate requirements vis-à-vis the transaction, including but not limited to reviewing the share purchase agreement, drafting/ reviewing share transfer letters, letters of resignation, notices, revised memorandum and articles of association etc.

  • LMA is advising VTTI Terminals on an indirect transfer/ acquisition of shares outside Pakistan, impacting the shareholding of its Pakistan subsidiary – Hascol Terminals Limited. In this respect LMA is advising the client on all corporate and related matters, including detailed advice on company law, laws governing oil storage terminals (OGRA laws) and competition laws. LMA has prepared a detailed step wise plan for the client to achieve completion of the transaction in Pakistan. LMA has also drafted all corporate resolutions, notices, and filings for the client in respect of the matter as well as advised the client on possible change in directorships and management.

  • LMA was engaged by Unity Foods in respect of acquisition of 69% shareholding of Sunridge (Private) Limited. In this respect LMAs scope of work included undertaking a due diligence exercise for the review of the Sunridge’s constitutive documents, corporate matter, intellectual matters, property documents, labour matters, litigation matter and all material agreements. Subsequent to the due diligence exercise the LMA team has advised Unity from time to time on all disclosures required for the acquisition, drafted the Share Purchase Agreement and the relevant application required to be made to the Competition Commission of Pakistan.

  • LMA was engaged by Agro Allianz with regards to its acquisition of 100 percent ownership of an off shore British Virgin Islands company. Our scope of work included reviewing the property documents of the BVI Company’s property, drafting the share purchase agreement in the matter and advising on matters as applicable under Pakistani laws.
